About the Role

The Counsel, Legal Operations position will be an integral part of Passport's growing team, joining a fast-paced and exciting environment. The Counsel, Legal Operations will report to the General Counsel--with certain responsibilities supporting and overseen by Passport’s Corporate Counsels--and be involved in a wide variety of activities that help drive business growth and improve the operations and maturity of the Legal department. This role will provide the opportunity to support mission-critical activities in a sophisticated, high-growth environment and to interface directly with the company's senior management.

Principally, the Legal department negotiates and manages the company’s contracts, in some cases multimillion dollar deals; leads compliance, regulatory, and governance matters; and manages risk. Given the nature of Passport’s business, the Legal department is involved in almost every aspect of the company’s business, including mergers and acquisitions, strategic partnerships, sales, procurement, product development, brand and marketing strategy, and employment matters. This role will coordinate with functional leaders or individual contributors outside of the Legal department on a daily basis. The Counsel, Legal Operations function will support all of the Legal department’s activities and--in so doing--will collaborate extensively with colleagues across multiple business departments and product lines.

This will be a hybrid role that involves handling sophisticated substantive matters and day-to-day process management. The role and responsibilities for this position will continue to evolve and expand as the Legal department’s and the company’s needs grow.


The Counsel, Legal Operations will primarily perform the following functions:

Commercial Contracts:

  • prepare/review sales contracts and agreements with subcontractors
  • prepare/review procurement agreements
  • prepare/review NDAs
  • support Capture Strategy department in the preparation of proposals in response to competitive procurement opportunities

Legal Operations:

  • support the General Counsel in law practice management initiatives, such as building out policy libraries, optimizing legal request intake procedures, and preparing standard operating procedures and resource guides
  • project manage and coordinate updates to and deployments of internal and external policies (like consumer-facing privacy policy)
  • serve as the primary administrator of Passport’s contract management system, which will entail uploading fully-executed contracts to the system, inputting appropriate contract attributes, performing contract quality control process to ensure the system is up-to-date and accurate; and managing reporting and analytics
  • oversee and coordinate the Legal department’s matter management system to ensure accuracy, completeness, and follow-through on pending matters
  • coordinate the full execution of contracts (via e-signature platforms or wet ink)

Minimum Qualifications:

  • Juris Doctor degree from an ABA-accredited institution
  • Active bar license (preference for North Carolina)
  • 2+ years’ experience in private law practice or in-house, preferably a combination of both
  • Proficiency with G Suite, Microsoft Office, Adobe Acrobat Pro, and Mac laptops and operating systems
  • Strong written and oral communication skills
  • Self-starter with strong desire to learn and develop professionally
  • Detail-oriented and organized
  • Able to “own” projects through to completion in a timely manner with minimal supervision

Preferred Qualifications:

  • Experience in a high-growth company (preferably SaaS industry)
  • Familiarity/proficiency with contract lifecycle management software, matter management software, and e-signature software
  • Experience negotiating procurement contracts of all types and SaaS sales contracts
  • Mecklenburg County Notary Public
