Contracts Manager (Mississauga, CA)

Job Summary:

Reporting to the Senior Legal Counsel of the business unit, this is a junior position ideal for a candidate with a couple years of experience as a law clerk or paralegal. The position involves the management, negotiation and administration of various contracts, including vendor and venue agreements, non-disclosure, marketing, software license, software maintenance, sub-contractor, and other commercial agreements. The successful candidate will be able to learn or have the ability to draft and co-ordinate all activities involved in the administration of the foregoing contracts. The position also involves some administrative tasks such as managing the legal departments on-line and physical contracts database, locating contracts and legal documents, and ensuring the company’s contract execution approval policies are followed and signatures obtained.

The position requires an articulate, self-motivated individual who possesses strong organizational skills and will pay close attention to detail, along with excellent interpersonal skills to deal with people at all levels of the Company. Strong verbal and written communications skills as well as the ability to handle multiple files at the same time with minimal supervision are also required in this position. Any legal background or experience in contract management involving software licensing would be a definite asset.

Job Description:

Responsibilities:

  • Reviews incoming commercial agreements and will negotiate terms and conditions for acceptability and compliance with company policies and procedures, briefs management on Terms and Conditions and participates in securing required management approval and signatures for completed agreements.
  • Perform contract/subcontract review, negotiations and interface with customer/vendor contracting personnel.
  • Works with management, sales, finance and service teams as well as the legal department to manage and structure contracts. 
  • Analyzes contracts to ensure compliance to company policy, government specifications and other requirements.
  • Takes proper action to close out the contract in accordance with applicable procedures at the conclusion of all activity.
  • Assures the timely communication of contract information with management and other stakeholders and maintains complete and accurate contract files.
  • Normally receives little instruction on day to day work, general instructions on new assignments.  Participates in determining objectives of assignment.  Plans schedules and arranges own activities in accomplishing objectives.  Work is reviewed upon completion.
  • Manages the legal department online and physical contracts database and storage room. Assists in the location and identification of requested contracts.
  • Some travel maybe required. Candidate must be able to travel to and within Canada and the U.S.

Requirements:

  • Bachelor’s or college degree in in law, legal administration, or an accredited paralegal program; AND/OR a 1-3 years of contract administration experience;
  • Knowledge of software licensing and other related agreements is preferred
  • Excellent oral and written communication skills
